No representation, warranty, term or condition, other than as specifically set forth in this Agreement, shall be binding on localdriveclub.com or Sprout Media Werks Inc. 1. ACKNOWLEDGMENT AND ACCEPTANCE OF TERMS - Localdriveclub.com is owned by Sprout Media Werks Inc. The term "member" refers to the person/business who is joining localdriveclub.com. and the term "Drive" refers to the operating network group owned by Sprout Media Werks, Inc. 2. General Rights - Localdriveclub.com has the right to cancel an account at anytime, however, will provide written notice to cancelled member with reason for cancellation. Localdriveclub.com has the right to change pricing and terms of agreement at any time and will provide members with notice of change and access to view changes. 3. Fees - Fees vary dependent on membership level. Member is responsible for choosing appropriate level of membership and paying associated fees. First registration will processed through PayPal on localdriveclub.com, additional monthly payments will be set up electronically and debited from account information provided by member. 4. Refund & Cancellation Policy - Member has right to cancel membership at any time. From the time of cancellation, automatic debit of membership fees will be terminated, any fees collected up to the time of cancellation will not be refunded. 5. Minors - You must be at least 18 years old to join localdriveclub.com. 6. Conduct of Members - Member shall not do or say anything that is unlawful, threatening, abusive, obstructive, harassing, libelous, invasive of privacy or publicity rights, be obscene or indecent, use hate speech, or encourage conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law. Member shall not upload, post, transmit or otherwise make available on or via localdriveclub.com any material protected by copyright, trademark, patent, trade secret or other proprietary right in a manner that infringes or violates any such right. First violation of conduct by member will constitute suspension of membership rights for 14 days. If violation of conduct persists, member will be terminated from localdriveclub.com and forfeit any fees paid up to that time. 7. Contact & Personal Information - The member is responsible for notifying a Drive official of any changes to their personal contact information, from which point member will be given an estimated date of when to expect these changes to be reflected on their Drive page. 8. Forfeit of Liability - In no event shall localdriveclub.com , Sprout Media Werks, Inc., officers and/or employees be liable for any loss, including loss of income, damage, or injury of any nature, whether direct, indirect, incidental, punitive, special, and/or consequential, in connection or resulting from the information, posting, content sharing, business networking, communicating and/or by using any section of localdriveclub.com. Localdriveclub.com , Sprout Media Werks, Inc., officers and/or employees does not accept any responsibility for any liabilities resulting from the actions of any parties involved. 9. Member Responsibilities - By joining Drive as a member, you agree to be an active part of localdriveclub.com. This mean checking email on a daily basis, reviewing news and posted comments on localdriveclub.com weekly and participating in localdriveclub.com forum monthly. You are encouraged to attend network meetings, however you are not required. Failure to participate as outlined may result in termination of membership. By registering for localdriveclub.com the member hereby acknowledges that he/she has read and fully understands this agreement and agrees to all of its terms of use.
